  • Mortgage Practice

Our role  in Mortgage Transactions

Our role in a mortgage transaction may include doing any or all of the following things, namely-

  1. Negotiating for the loan with a lender on behalf of a borrower

2 Investigating the title of the property sought to be mortgaged

3 Drafting the mortgage instrument, for instance a deed of legal mortgage. In practice, the mortgagee prepares the deed in order to provide for those covenants that will ensure he realises the money advanced to the mortgagor. Standard forms of mortgage deeds are prepared and kept in the legal departments of most Banks and completed by the parties when required.

  1. Perfecting the mortgage instrument, for example applying for consent, payment of stamp duties and registration of the instrument.
  2. Discharge of the mortgage, for example preparing and registering a deed of release.

 

In order to discharge his responsibilities in a mortgage transaction, we help with the basic requirements and information required to be provided are:

  1. The parties to the transaction,
  2. The amount of money advanced by the mortgage to the mortgagor,

iii. The property used as collateral;

iv the repayment date of the covenants in the mortgage,

  1. Remedies in the event of any default, and
  2. any other instructions on the perfection of the document

 

Investigation of Title and Writing Search Report

Where a customer applies to a Bank for a loan and informs the bank that he has a property to use as collateral, the bank usually request a Lawyer to investigate the use of the property. The Lawyer then prepares a Search Report, which is a statement of his findings on the search conduced Our search report is Witten on behalf of and forwarded to the Lender. Where the intended borrower (mortgagor) is an individual the search is conducted at the lands registry where the property is situated and registered. Where the intended borrower is a registered company investigations are conducted at both the lands registry and also at the Composite Affairs Commission.. The importance of search at the Corporate Affairs Commission is to discover if any charge has been created on the assets of the company and also the extent of the borrowing powers of the company. The most important reasons for investigating a title advanced as collateral are::

1 to discover whether the borrower is the owner of the property he is presenting as security,

2 to know whether the property is encumbered in any manner.

 

The search report we prepare depends on whether the borrower is a natural person or a company. Where the borrower is a natural person, our search report should contain the following information and findings:

 

Date of the search.

I  Name of the borrower.

  1. Person providing the security.

iii Person providing the security

  1. Description of the property.
  2. Title of the property
  3. Findings on any encumbrances (charges, mortgages, etc.) and other adverse facts that may be discovered from the following-

 

(a) Physical inspection of the property. The importance of this is to discover whether the property actually exists, the conidian of the property, whether it is vacant or is occupied

(b) The Lands Registry. This is because where the property is registered or is subject to a right certificate of occupancy, the details of the property will be contained in the lands registry of the State.

  1. c) Any act of government acquisition which may be gazetted
  2. Conclusions and advice on the viability of the property as a security for the mortgage.

 

 

Where the borrower is a company and intends to use its property as security, our search report would contain the following findings and information-

  1. Date of the search.
  2. Name of company (borrower)
  3. Date of incorporation of company.
  4. Registration number of company.
  5. Names & addresses of shareholders of the company
  6. Names& addresses of directors of the company
  7. Borrowing powers of company (extent, limit, procedure)

  9. The last annual returns filed.

All companies registered in Nigeria are required to have a company secretary by the provision of Section 330(1) of the Companies and Allied Matters Act, 2020. However, small companies whose turnover is not more than N120,000,000 (One Hundred and Twenty Million Naira) and whose net assets value is not more than N60,000,000 (Sixty Million Naira) are exempted.

In the case of a public company, section 332 of the Companies and Allied Matters Act, 2020 provides for the requisite qualification of a person must possess to hold the position of a company secretary as follows:
